Our ethics and compliance policy
Our ethics and compliance policy, which was strengthened in 2025, underpins all our ethical commitments. This policy, which is designed to be an evolving program, is constantly being improved to ensure that it remains relevant, effective and resilient going forward. This policy is embodied in the documents below which set out the commitments:

The Ethics Charter
Our Ethics Charter sets out our principles and commitments to society, people and our ecosystem. It also defines the ethical behavior which is expected of everyone.A real everyday guide, it helps everyone make responsible decisions that are aligned with our values.
The Ethics Charter applies to all our employees as well as to all our stakeholders with whom we interact.

Our Anti-Corruption Code of Conduct sets out the essential principles that govern the prevention and fight against corruption at Cegid. It describes the behavior expected to ensure transparent practices which are consistent with our values, and helps everyone to adopt the right reflexes when faced with a sensitive situation. It also includes practical examples of situations that we may encounter in our work.
It comes under the obligations imposed by Law No. 2016-1691 of 9 December 2016, called the “Sapin 2” Law, especially Article 17, which requires companies concerned to draw up a Code of Conduct explaining and illustrating the types of behavior that could constitute corruption or influence peddling.
Because of the international nature of our business, the Code of Conduct also takes into account:
- the UK Bribery Act 2010, in particular Article 7 on the failure to prevent bribery;
- the U.S. the Foreign Corrupt Practices Act (FCPA) of 1977, as amended, in particular its anti-corruption provisions and its internal control and book-keeping and record-keeping requirements;
- key international conventions, including the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions (1997) and the United Nations Convention against Corruption (Mérida Convention, 2003).
This Code of Conduct applies to all our employees and is available to all our stakeholders, who are asked to respect its principles. It is part of a broader program to prevent and combat corruption.

The “Whistleblowing” fact sheet
Our fact sheet provides clear, practical guidance on how to report a concerning situation and follow the process: who can report it, how to do so, and what the next steps are, as well as the key contact persons to get in touch with. It makes the process simple and accessible to everyone.
